Walmart is seeking an experienced, business-oriented, and collaborative attorney to serve as Senior Counsel – Marketplace Payments within the Financial Services Legal team. This role will support the development and expansion of Marketplace financial services and payments capabilities, including merchant payouts, funds-flow diligence and design, sales-based financing/merchant cash advances, third-party financing programs, deposit accounts, and a broad range of other payment-related initiatives. The role offers flexibility to be located at any of our offices in Hoboken, NJ, Bentonville, AR, or Sunnyvale, CA. The position requires strong regulatory expertise, excellent judgment, and the ability to partner effectively with product, engineering, compliance, finance, operations, and leadership teams.
· Provide practical legal guidance on Marketplace payments products, including domestic and cross-border billing platforms and settlement processes, money transmission, payout structures, and end-to-end funds-flow architecture.
· Provide practical legal guidance on financial services and products made available to Sellers, including domestic and cross boarder sales-based financing (merchant cash advances) and commercial lending.
· Collaborate with technology teams to evaluate and advise on agentic marketplace e-commerce initiatives, including the integration of AI agents in payment platforms, payment credential tokenization, digital wallets, data management and sharing, and the identification and mitigation of associated risks.
· Counsel teams on U.S. and international money remittance and transmission laws, AML/CTF rules, OFAC/sanctions requirements, NACHA and card network rules, and other payments regulatory issues.
· Draft, review, and negotiate agreements with payment service providers, capital providers and sponsor banks, and other payment infrastructure or commercial-finance partners.
· Partner with Product and Engineering teams to incorporate legal, regulatory, and risk considerations into product development, operational design, and platform mechanics.
· Support commercial and operational planning related to liability frameworks, returns and chargebacks, collections and advance-recovery strategies, and risk controls.
· Develop guidance documents, playbooks, and policies to support Marketplace payments operations, financing programs, and compliance-framework roll-out.
· Collaborate cross-functionally with Compliance, Ethics, Privacy, Finance/Treasury, Risk, Technology, and other groups to support product launches, seller financing programs, and internal training for the Marketplace ecosystem.
· Engage and manage outside counsel for specialized regulatory matters, licensing, commercial-finance regulatory issues, and other complex legal issues.
Minimum Qualifications:
· Juris Doctor (J.D.) from an accredited law school; licensed and in good standing in at least one U.S. jurisdiction.
· 8+ years of legal experience in payments, merchant acquiring, fintech, financial services, commercial banking, invoice financing/factoring, or lending/advance products.
· Strong understanding of U.S. payments regulations, including money transmission, AML/CTF, NACHA regulations and credit card network rules, deposit-taking, and commercial-finance regulatory frameworks (including sales-based financing products), import/export duty fees.
· Demonstrated experience negotiating and drafting complex commercial agreements with payments, acquiring, financing, or factoring partners.
· In-house experience supporting marketplaces, fintech platforms, payments companies, or large financial institutions (including commercial banking or factoring/invoice-finance providers).
· Knowledge of merchant cash advance, invoice financing and factoring, payout orchestration, settlement mechanics, and embedded finance products.
· Familiarity with cross-border payment or commercial-finance licensing regimes and international considerations, including PSD2 and PSD3.
· Effective communication skills and a collaborative, solutions-oriented approach; demonstrated ability to partner with senior business and finance teams.
