Sales Governance Manager
The Sales Governance Manager will lead and embed global deal governance frameworks across the Commercial function. This role ensures governance policies are current, legally aligned, and effectively integrated into commercial processes to enable compliant, efficient, and risk-mitigated deal execution.
The role will act as the subject matter expert (SME) for global deal governance, partnering closely with Sales, Legal, Company Secretariat (CoSec), Finance, and senior stakeholders to maintain policy integrity, manage governance forums, and drive continuous improvement across Commercial Office activities.
Key Responsibilities
- Own and manage the global deal governance framework.
- Ensure governance policy is fully integrated into commercial deal workflows.
- Maintain oversight of deal approval processes and ensure adherence to delegated authorities.
- Establish and maintain a non-compliance register and governance reporting mechanisms.
- Manage governance committees including agenda setting, stakeholder coordination, documentation, and communications.
- Maintain and update governance policies in line with evolving business needs and legal requirements.
- Ensure policies are aligned with legal updates, entity execution requirements, shareholder/investor consent protocols, and delegated authority structures.
- Drive professional policy documentation and version control standards.
- Develop process maps and guidance notes to support compliance-by-design integration.
- Integrate governance controls into commercial processes to ensure seamless adoption.
- Embed policy adherence into CRM/workflow tools and operational procedures.
- Monitor effectiveness of governance processes and recommend enhancements.
- Drive standardisation to improve consistency, quality, and turnaround time of deal execution.
- Establish and maintain strong working relationships with Legal and Company Secretariat teams.
- Ensure deal approvals and contract execution processes meet legal and regulatory requirements.
- Support entity-specific execution and consent protocols.
- Act as a coordination point between Commercial and Legal during complex deal reviews.
- Lead change management initiatives related to governance tools, policies, and processes.
- Support rollout and adoption of new governance frameworks across global teams.
- Develop communication plans and stakeholder training materials to ensure smooth implementation.
- Build strong relationships with global commercial stakeholders.
- Establish credibility as the go-to SME for deal governance matters.
- Display non-authority-based influence to drive policy adherence and operational discipline.
- Ideate and execute continuous improvement initiatives to enhance governance efficiency and effectiveness.
Experience required
- 7–12 years of experience in Sales Governance, Commercial Governance, Deal Desk, Risk, Legal Operations, or Sales Operations.
- Strong understanding of deal approval processes, delegated authority frameworks, and commercial controls.
- Experience working closely with Legal and Company Secretariat teams.
- Proven ability to manage governance forums and senior stakeholders.
- Strong policy drafting and documentation skills.
- Demonstrated change management experience.
- Excellent communication, influencing, and stakeholder management skills.
