Job Description

We are looking for a Senior Legal Counsel to strengthen our Governance, Capital Markets & Equity Plans team on a temporary basis for two years as a parental leave replacement. In this role, you will support us in ensuring legal and governance advice for Delivery Hero's global business.

The team "Governance, Capital Markets and Equity Plans" is responsible for corporate and governance advice, the supervisory board office, general meetings, corporate financing, capital market compliance, and employee participation programs.

We are a dynamic team that regularly deals with new legal issues and develops innovative solutions to harmonize both legal risks and business requirements.

• Advising and supporting the Head of Capital Markets & Equity Plans in all matters of German company law, including the preparation and conduct of the general meeting, implementation of corporate governance measures, support of capital measures, and advice on the executive compensation system.
• Primary legal contact for legal issues in the area of internal governance and capital market compliance between Delivery Hero and the listed subsidiary in Dubai, UAE.
• Drafting, reviewing, and coordinating ad-hoc announcements, directors dealings, and insider lists.
• Coordinating the cooperation with international external law firms.
• Close cooperation and coordination with internal specialist departments – in particular the strategy, investor relations, and finance departments.
• Independent analysis and processing of complex legal issues and close, interdisciplinary cooperation with other teams within the legal department and related business areas.

Qualifications

• Full lawyer with an excellent academic background and 6–8+ years of professional experience after the second state examination.
• In-depth expertise in German stock and capital market law as well as profound knowledge of corporate governance in listed companies.
• Experience with cross-border legal structures; knowledge of the company and capital market law of the United Arab Emirates is advantageous.
• Fluent German and English in speech and writing.
• Team-oriented personality with curiosity and adaptability, which succeeds in a strong growth company culture in which innovation meets compliance.
• High sense of responsibility, precision and initiative – solution-oriented, entrepreneurial thinking and successful in a dynamic, international environment.
